Terms of Service
Please read these terms carefully before engaging our services
These Terms of Service ("Terms") govern your use of the Akshara Technologies website at aksharatech.com and any professional services provided by Akshara Technologies ("we", "our", or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By using this website or submitting an enquiry, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are acting on behalf of a company or organisation, you confirm that you have authority to bind that entity.
2. Services Provided
Akshara Technologies provides Microsoft 365 development services including, but not limited to:
- SharePoint Framework (SPFx) web part and extension development
- SharePoint Online modern intranet portal design and development
- Microsoft Hub Sites and Communication Sites
- Power Automate workflow and custom connector development
- Microsoft Teams integration and app development
- Flutter cross-platform mobile application development (Android & iOS)
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed between both parties.
3. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide timely feedback, approvals, and access to required systems and accounts (e.g., Microsoft 365 tenant admin access).
- Ensure you hold appropriate Microsoft 365 licences required for the services requested.
- Designate a primary point of contact for project communication.
- Provide accurate and complete information during the discovery and scoping phases.
- Review and test deliverables within agreed timelines; silence beyond the review period may constitute acceptance.
4. Intellectual Property
Upon receipt of full payment for a project, Akshara Technologies assigns to the client all intellectual property rights in the custom deliverables created specifically for that project, including source code, design assets, and documentation.
The following are explicitly excluded from IP transfer:
- Pre-existing frameworks, libraries, or tools we developed prior to your engagement.
- Third-party open-source components (governed by their respective licences).
- Our internal methodologies, processes, and templates.
You grant us a non-exclusive, royalty-free licence to display completed work in our portfolio and marketing materials, unless otherwise agreed in writing.
5. Payment Terms
Unless otherwise specified in the project agreement:
- Projects are billed in milestones: typically 40% on project commencement, 40% on mid-project milestone, and 20% on final delivery.
- Invoices are due within 14 days of issue.
- Overdue invoices may incur a late payment charge of 1.5% per month on the outstanding balance.
- Work may be suspended for invoices overdue by more than 30 days.
- All prices are exclusive of applicable taxes (GST/VAT) unless stated otherwise.
6. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement. This includes business processes, technical architecture, client data, and pricing. This obligation survives the termination of the engagement for a period of 3 years.
7. Warranties and Disclaimers
We warrant that our services will be delivered with reasonable skill and care, in accordance with the agreed scope. We do not warrant that deliverables will be error-free under all conditions or that they will meet requirements beyond the agreed specification.
The website and its content are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, Akshara Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services or website, including loss of data, loss of revenue, or business interruption.
Our total aggregate liability for any claim arising under or related to these Terms shall not exceed the total fees paid by you to us in the 3 months preceding the claim.
9. Project Cancellation and Termination
Either party may terminate the engagement with 14 days' written notice. Upon termination:
- You are liable for payment of all work completed up to the date of termination.
- We will deliver all completed work and source code up to the termination date.
- Deposits and milestone payments for completed phases are non-refundable.
10. Post-Launch Support
All project deliverables include a 30-day warranty period post-launch during which we will fix defects in the delivered work at no additional charge. Issues arising from third-party changes (e.g., Microsoft platform updates), client modifications, or new requirements are outside this warranty scope.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gujarat, India, unless otherwise agreed in the project agreement.
12. Changes to These Terms
We reserve the right to update these Terms at any time. The "Last updated" date will reflect the most recent revision. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
